E-Commerce Trading through online platforms and marketplaces

Trading activities may be conducted directly or through associated brands, platforms, or online stores owned or managed by Xpert Group.

2. Eligibility and User Obligations

By using our Services, you confirm that:

You are legally capable of entering binding agreements
You are not restricted under applicable UAE or international laws
Information provided by you is accurate, lawful, and complete

You agree not to misuse the Services for fraudulent, unlawful, misleading, or prohibited activities.

3. Stripe, Payments & Financial Compliance

3.1 Payment Processing

Payments may be processed via Stripe or other authorized payment service providers
You authorize us to charge applicable fees, taxes, shipping costs, subscriptions, or renewals

3.2 Compliance & Risk Monitoring

To comply with Stripe’s Acceptable Use Policy, KYC/AML requirements, and fraud-prevention rules, we reserve the right to:

Request identity, business, or transaction verification
Suspend or cancel transactions deemed high-risk, suspicious, or non-compliant
Share required information with payment processors and regulators

3.3 Refunds & Chargebacks

Refunds are governed by our Refund Policy, product terms, or service agreement
Excessive chargebacks, disputes, or payment abuse may result in account suspension

4. Google Platform & Advertising Compliance

Where Services involve Google Ads, Google APIs, Google Play, Google Workspace, or Google payment systems, you agree that:

All content, products, and services comply with Google policies and guidelines
No misleading, restricted, counterfeit, or prohibited products or claims are offered
User data is collected, processed, and stored in compliance with Google’s data protection standards

We reserve the right to suspend Services if Google policy violations occur.

5. Product & Trading Disclaimers

5.1 Food & Beverage Products

Products are supplied as per manufacturer or supplier specifications
We do not guarantee medical, nutritional, or therapeutic outcomes
Customers are responsible for verifying suitability, allergies, storage, and usage

5.2 General & E-Commerce Products

Product images and descriptions are for illustrative purposes
Availability, specifications, and pricing may change without notice
Delivery timelines are estimates and may vary due to logistics or customs clearance

6. Professional & Regulatory Disclaimer

Advisory and compliance services are provided based on information supplied by clients
Laws, tax rules, and regulatory interpretations may change without notice
Final responsibility for filings, disclosures, declarations, and compliance rests with the client

Nothing in our Services constitutes legal representation unless explicitly agreed in writing.

7. Intellectual Property

All intellectual property, including:

Software, source code, platforms, designs, content, trademarks, and logos

remain the exclusive property of Xpert Group or its licensors. Unauthorized use, copying, resale, or reverse engineering is strictly prohibited.

8. Data Protection & Privacy

Client and customer data is processed in accordance with UAE data protection principles and applicable international standards
Data may be stored on secure cloud infrastructure, including servers located outside the UAE where legally permitted

9. Third-Party Services & Marketplaces

We are not responsible for:

Failures, downtime, or policy changes of third-party platforms
Marketplaces, logistics providers, government portals, or cloud service providers

Use of third-party services is at your own risk and subject to their respective terms.

10. Limitation of Liability

To the maximum extent permitted by UAE law:

We shall not be liable for indirect, incidental, or consequential losses
Our total liability shall not exceed the fees paid for the relevant Service
We are not liable for regulatory penalties arising from incorrect or incomplete client information

11. Indemnification

You agree to indemnify and hold harmless Xpert Group FZE-LLC from claims arising from:

Breach of these Terms
Violation of Stripe, Google, or regulatory policies
Misuse of Services or products

12. Suspension & Termination

We may suspend or terminate Services immediately if:

Payment obligations are not met
Fraud, abuse, or policy violations are detected
Required compliance information is not provided

Termination does not waive outstanding payment obligations.

13. Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control, including regulatory changes, system outages, natural disasters, or government actions.

14. Amendments

We may revise these Terms periodically. Updated versions will be published on our website. Continued use of Services constitutes acceptance of revised Terms.
